Nuna Technologies ApS (also referred to as “Company”, “Nuna”, “we” or “us”) offers you (also referred to as “user”) a mental health assistant (also referred to as the “Service”). The Service is provided through the website nuna.ai and the associated mobile application (hereinafter referred to as “website”, “application”, “app”). Service shall include any and all relations to and interactions with our website, the mobile application through download or mobile web access. This means any access to the Service, your registration to use the Service, the use of the Service, and any communication related to the operations and/or legal compliance of the Nuna business
These Terms and Conditions apply to the Service, however the Service is provided, and also apply to any and all other interaction with Nuna or Nuna’s products or services.
You must explicitly accept these Terms and Conditions before you can use Nuna’s Service. This is done when you sign up. However, if you do not sign up, but use our webpage the relevant parts of these Terms and Conditions will still apply.

Disclaimer and Waiver
NUNA’S OFFICE AND LEGAL ESTABLISHMENT IS IN DENMARK. THE SERVICE AND THESE TERMS AND CONDITIONS AND ALL OTHER ISSUES CONCERNING NUNA, INCL. BUT NOT LIMITED TO ITS GENERAL ACTIVITIES, EMPLOYEES AND OWNERS, SHALL BE SUBJECT TO THE LAWS OF DENMARK. VENUE SHALL BE WITH THE ORDINARY DANISH COURTS. ANY RULE THAT MIGHT LEAD TO OTHER LAW OR VENUE SHALL BE DISREGARDED. NO OTHER CHOICE OF LAW OR JURISDICTION SHALL THUS APPLY. A USER IN ANOTHER COUNTRY AND OR SUBJECT TO OTHER LAW OR ANOTHER VENUE/JURISDICTION IS THEREFORE ONLY PERMITTED TO USE THE SERVICE IF SUCH USER BY ACCEPTING THESE TERMS AND CONDITIONS WITH BINDING LEGAL EFFECT CAN WAIVE AND WAIVES THE USE OF OTHER LAW, VENUE/JURISDICTION THAN DANISH AS STATED ABOVE. THE SERVICE IS INTENDED FOR ADULT USE ONLY. HOWEVER, IF THE PERSON SUBJECT TO THE SERVICE IS BETWEEN 13-18 YEARS OF AGE THEN A PARENT OR LEGAL GUARDIAN IS ALLOWED TO SIGN UP AS THE USER AND SURVEY THE USE OF THE SERVICE AND TAKE FULL RESPONSIBILITY FOR THE MINOR AND THE USE OF THE SERVICE.
THE SERVICE DOES NOT INCLUDE ANY MEDICAL CARE BY US. WE ARE NOT A LICENSED MEDICAL OR MENTAL CARE PROVIDER, AND WE ARE NOT ACTING IN A HEALTH CARE OR MENTAL CARE PROFESSIONAL CAPACITY. WE DO NOT PROVIDE ANY MEDICAL, CLINICAL SERVICES, AND DO NOT DIAGNOSE, TREAT, OR MANAGE ANY ILLNESS, DISEASE, OR CONDITION. IN PARTICULAR, THE SERVICE IS NOT A DIAGNOSTIC TOOL OR DEVICE. WE DO NOT HAVE EXPERTISE IN DIAGNOSING, EXAMINING, OR TREATING MEDICAL OR PSYCHOLOGICAL CONDITIONS OF ANY KIND. YOU SHOULD NOT CHANGE YOUR TREATMENT OR CARE PLAN, MEDICATION OR THERAPY BASED ON INFORMATION YOU RECEIVED THROUGH THE SERVICE WITHOUT PROPER CONSULTATION WITH YOUR HEALTH CARE PROVIDERS. USE OF THE SERVICE SHOULD NOT REPLACE ANY TREATMENT OR CARE PROVIDED BY YOUR HEALTH CARE PROVIDER. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH CARE PROVIDER. INFORMATION, INCLUDING ALL DATA SUPPLIED THROUGH THE SERVICE IS OFFERED FOR INFORMATIONAL CONTENT PURPOSES ONLY AND IS NOT A DIAGNOSIS OF ANY ILLNESS, NOR IS IT A RECOMMENDATION OR ENDORSEMENT OF ANY DRUG, DEVICE OR TREATMENT. NUNA IS SOLEMNLY DESIGNED AS A SELF-HELP PROGRAM. IT WILL NEVER BE A SUBSTITUTE FOR ACTUAL MENTAL HEALTH SERVICES OR ANY TYPE OF MEDICAL CARE.
IF YOU’RE FACING SERIOUS ILLNESSES OR FEELING THAT YOU CAN BE A DANGER TO YOURSELF OR OTHERS, YOU SHOULD ALWAYS AND IMMEDIATELY CALL YOUR NATIONAL EMERGENCY HOTLINE AND CALL AND MEET WITH ACTUAL MENTAL HEALTH OR OTHER PROFESSIONAL SERVICES. ALWAYS SEEK YOUR OWN THERAPIST OR HEALTHCARE PROVIDER IF YOU HAVE ANY QUESTIONS REGARDING YOUR HEALTH AND/OR MENTAL HEALTH.
FURTHER, NUNA IS NOT A MEDICAL OR HEALTH SERVICES ORGANIZATION, PROVIDER OR FORUM, AND WE DO NOT ENGAGE IN PATIENT DIAGNOSIS OR THE PRACTICE OF MEDICINE. THE CONTENT AND USER CONTENT PRESENTED BY AND THROUGH THE SERVICES IS IN NO WAY INTENDED AS MEDICAL AND/OR PSYCHIATRIC ADVICE OR THERAPY AND IS NOT PROVIDED FOR THE PURPOSE OF DIAGNOSING OR TREATING MEDICAL AND/OR PSYCHIATRIC PROBLEMS OR CONDITIONS, NOR IS IT A SUBSTITUTE FOR MEDICAL AND/OR PSYCHIATRIC TREATMENT AND/OR THERAPY. ACCORDINGLY, WHILE COMMUNICATIONS BETWEEN YOU AND NUNA ARE COVERED BY OUR PRIVACY POLICY, THEY ARE NOT PROTECTED BY PHYSICIAN-PATIENT PRIVILEGE OR DOCTOR-PATIENT CONFIDENTIALITY. ALL CONTENT AND MEMBER CONTENT THAT IS MADE AVAILABLE BY AND THROUGH THE SERVICES SHOULD BE DISCUSSED AND CONFIRMED WITH YOUR PHYSICIAN, PSYCHIATRIST, THERAPIST OR OTHER HEALTHCARE PROVIDER BEFORE ADOPTING ANY WELLNESS PROGRAM, EXERCISE PROGRAM, OR OTHER TREATMENT, WHETHER OFFERED ON THE SITE, THROUGH THE SERVICES OR OTHERWISE. USE OF THE SITE, SERVICES, CONTENT AND MEMBER CONTENT FEATURED THEREIN, IS AT YOUR OWN RISK. INFORMATION AND STATEMENTS FEATURED BY AND THROUGH THE SERVICES HAVE NOT BEEN EVALUATED BY ANY PROFESSINAL CAPACITY OR GOVERNMENTAL INSTITUATION AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE OR PREVENT ANY DISEASE OR PSYCHOLOGICAL DISORDER.
YOU SHOULD DISCONTINUE EXERCISES OR USE OF ANY SUGGESTION, TOOL OR SELF-HELP PROGRAM IN CASES WHERE IT CAUSES PAIN OR SEVERE DISCOMFORT AND SHOULD CONSULT A MEDICAL EXPERT PRIOR TO RETURNING TO EXERCISE IN SUCH CASES. WE RESERVE THE RIGHT TO DENY YOU ACCESS TO THE SERVICES FOR ANY REASON OR NO REASON, INCLUDING IF WE DETERMINE, IN OUR SOLE DISCRETION, THAT YOU HAVE CERTAIN MEDICAL CONDITIONS.
THE USE OF OUR SERVICE IS SOLELY AT YOUR OWN RISK.
YOU HEREBY ACKNOWLEDGE AND AGREE THAT WE SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE of (OR INABILITY TO USE) OR RELIANCE ON THE SERVICE. YOU HEREBY ALSO ACCEPT THAT NUNA/WE WILL NOT BE LIABLE FOR ANY SELF-HARM OR OTHER ACTS THAT YOU WILL DO BECAUSE OF OUR SERVICE AND/OR ANY USE OF OUR SERVICE, WEBSITE OR APP. WE/NUNA ALSO SPECIFICALLY EXCLAIM PUNITIVE DAMAGES.
YOUR USE OF THE SERVICE SHALL BE AT YOUR OWN AND SOLE RISK. YOU HEREBY EXPRESSLY AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
NUNA SHALL USE ALL REASONABLE ENDEAVORS TO ENSURE THAT THE SERVICES ARE UNINTERRUPTED BUT IT DOES NOT GUARANTEE OR WARRANT THAT: (I) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; AND (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (V) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
GENERAL TERMS AND CONDITIONS
1. Changes to the Terms and Conditions
The Terms and Conditions can be changed by us at any time by amending this page and the terms hereof. The revised Terms and Conditions shall be posted on the Service, and you are expected to check the Terms and Conditions when you log in and take notice of any changes made to the Terms and Conditions, as they are binding upon you. Some of these provisions may be superseded by provisions or notices published elsewhere on our Service. All changes are effective as soon as we post them, and by continuing to use the Service you agree to be bound by the revised terms and conditions of use. Your use of the Service is always subject to the most current version of the Terms and Conditions posted at the time of such use. Change of prices or fees will be given with 30 days notice.
2. Access and Consent
Access to the Services is permitted on a temporary basis, and we reserve the right to withdraw or amend the Service (or any features within the Services) from time to time without prior notice to you. We will not be liable, if for any reason our Service is unavailable at any time or for any period. From time to time, we may, at our sole discretion, restrict access to all or some parts of our Service, also to users who have registered with us.
Your ability to log into your account is also dependent upon external factors such as internet service providers and internet network connectivity and we shall not be liable to you for any damages arising from your inability to log into your account.
In order to access the Services, you will need to register to the Service through the website or app and create a user account. Your account gives you access to the Service, including the services and functionalities that we may, at our discretion, establish and maintain. By using the Services and completing the registration process, you warrant that: (a) all the data provided by you is accurate and complete; (b) you shall maintain the accuracy of such information, and any changes thereto by regular update of any such information; (c) you affirm that you are over 18 (eightteen) years of age (or, if the person that will be subject to the Service is between13-18 years of age, that you are the parent or legal guardian above 18 (eightteen) years of age and you survey the use of the Service and take full responsibility for this), you and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions; and (d) you may use the Service provided only in compliance with these Terms and Conditions and all applicable laws, rules and regulations. Your profile may – without legal consequences for us – be deleted by us by informing you 24 (twenty four) hours in advance without any further notice whatsoever, if we believe that you have violated any of the conditions as mentioned under this Agreement or the Privacy Policy.
Our Service runs through the app you can find on Apple App Store or Android marketplace. Before being able to use the service, you are asked to provide a name/nickname, email, password and age. You may not impersonate other persons than you or use other persons accounts nor transfer your account to other people without a written consent.
Your password and account information must be protected for the security of your account, and you shall not share the information. You are responsible for all activities associated with your account.
You must provide a valid email address and any other information requested to you, from time to time, in order to complete the registration process and be entitled to use the Services. The information provided by you may be shared by us in accordance with the Privacy Policy with any third party for providing the Services, record keeping purposes, internal procedures or for any other purposes and by using the Service you expressly consent to such sharing of the information provided by you.
Upon completing the registration process, you will be provided with a user identification code, password or any other piece of information, as part of our security procedures. You must treat such information as confidential, and you must not disclose it to any third party. You must also ensure that you exit/log out from your account at the end of each session. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms and Conditions. You shall immediately notify us of any unauthorized use of your password or user identification code, by sending details of such unauthorized use to: hello@nuna.ai . Please note that we have implemented commercially reasonable technical and organizational measures designed to secure your personal data from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal data for improper purposes. You hereby acknowledge that you provide your personal information at your own risk.
You are responsible for making all arrangements necessary for you to have access to the Service. You are also responsible for ensuring that any persons who access the Service through your account, for example your licensed medical care provider, are aware of these Terms and Conditions, and that they comply with them. You are also solely responsible and liable to Nuna for all activities that take place or occur under your account.
We reserve the right – at our sole discretion – to refuse access to use the Services offered to new users or to terminate access granted to existing users at any time without providing any reason for doing so. Use of the account is not available to any user who is suspended or prohibited by Nuna.
By providing Nuna your email address/phone number you consent to:
- Us using your email address or mobile number to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. You may use your settings to opt out of Service-related communications via email/mobile number or entirely.
- Us using the phone numbers provided by you, to contact you from time to time, in order to provide you updates and advice relating of your progress on the App and the usage of our Services, and relating to any new promotions and opportunities on the App.
- Us using your email address or phone number to send you other messages, including changes to features of the Service and special offers. If you do not want to receive such email messages, you may opt out by sending us an email at: hello@nuna.ai. Opting out may prevent you from receiving email messages or phone messages regarding updates, improvements, or offers.
- Granting such permission to contact you through telephone, SMS, e-mail and hold Nuna (including but not limited to its subsidiaries/affiliates) indemnified against any liabilities including financial penalties, damages, expenses in case your mobile number is registered with Do not Call (DNC) databases.
Once you complete the registration to the Service, you will be a member which allows you to use the Service according to these Terms and Conditions.
3. INTELLECTUAL PROPERTY RIGHTS AND GRANT OF LICENSE
The names “Nuna” is a trademark of Nuna and may not be used by you.
All intellectual property right and title to the website and app, our SoMe and other, including but not limited to all texts, graphics, user interfaces, visual interfaces, computer code and any other information associated therewith are and will remain the exclusive property of Nuna.
All intellectual property right and title to the Service are and will remain the exclusive property of Nuna Technologies ApS.
For the avoidance of doubt the intellectual property rights include all content on the website and app and Services (including but not limited to text, visuals, photos, graphics, data, illustrations, audio, video and user submissions) that is owned and copyrighted by Nuna.
Nuna does not transfer/assign the title or intellectual property right of the Service of content to you, and nothing in these Terms and Conditions shall imply this.
Nuna however grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your/the user’s own personal, non-commercial use. The copying and/or storing to the extent necessary for such use is also granted. The license may only be used in accordance with these Terms and Conditions.
Any use, including copying or storing in whole or part, other than for the user’s own personal, non-commercial use is prohibited. Further, the user may not distribute, sell, alter, modify, decompile, reverse engineer, dissemble, or otherwise use the Service not in accordance with the license above.
Except as expressly provided in these Terms and Conditions no marks, data, statistics, independent research, etc. conducted and posted through the Service or by Nuna may be copied reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way including (“mirroring”) to any other computer, server, website, or other medium.
For the avoidance of doubt you are not permitted to and shall not do any of the acts mentioned below. Breach shall entitle us to terminate your use of the Service, without return of payment and with us being entitled to claim other rights and remedies against you:
- Distribute, copy, sell, supply, modify, adapt, amend, incorporate, merge or otherwise alter the Services and/or all content provided to you as part of the Services;
- Attempt to decompile, reverse engineer or otherwise disassemble any Service or content provided to you as part of the Service;
- Attempt to copy any information or software provided to you as part of the Service and in particular its source code, or attempt to decrypt any part of such software that is provided to you;
- Create any derivative work or version of any software provided by us in relation to or to facilitate your use of the Service or any content provided as part of the Service;
- Remove, from the Service or any content provided as part of the Services, any logo, copyright or proprietary notices, legends, symbols, labels, watermarks, signatures or any other like marks affixed to or embedded in the Service;
As a part of the Service we may link to videos and articles not created by us, of which we do not claim any ownership. For this content we do not take any responsibility of intellectual property rights, nor for any type of harm this content can cause.
4. OTHER RESTRICTION ON USE OF SERVICES
You are not permitted to and shall not do any of the acts mentioned below.
- Use the Services or any part of it to create a false identity, to impersonate any person or organization, or attempt to disguise the origin of any content;
- Access or use the Service in any manner that could damage, disable, overburden, or impair any of the Service or the networks connected to any of the servers on which the Service is hosted;
- Access or attempt to access by any means any content that you are not authorized to access;
- Access the Service through any other means other than through the interface that is provided for this purpose by us;
- Disrupt or interfere with the security of, or otherwise cause harm to the Service, materials, system resources, or gain unauthorized access to the user accounts, passwords, servers or networks connected to or accessible through the Service or any affiliated linked sites.
- Misuse our Service by knowingly introducing viruses, trojans, worms, logic bombs, time bombs, cancel bots, spyware or other material, computer programming routines, codes, files or such other programs which are malicious or technologically harmful, or limit the interests of rights of other users or limit the functionality of any computer software, hardware or telecommunications.
- Attempt to gain unauthorized access to the Service, the server on which our Service is stored or any server, computer or database connected to our site.
- Attack our Service via a denial-of-service attack or a distributed denial-of service attack.
- Assign or otherwise transfer your rights and obligations under these Terms and Conditions without our prior written consent.
- Otherwise violae these Terms and Conditions.
Breach shall entitle us to terminate your use of the Service, without return of payment and with us being entitled to claim other rights and remedies against you.
5. RIGHTS RESERVED BY NUNA
We have the right to disclose your identity to any third party who validly claims and provides evidence that any material posted or uploaded by you to our Service constitutes a violation of their intellectual property rights, or of their right to privacy.
We have the right to immediately terminate your access or usage rights and remove non-compliant information or material, in case we suspect you are in non-compliance with these Terms and Condition.
We have the right to investigate and prosecute violations of these Terms and Conditions to the fullest extent of the law and may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms and Conditions.
While we have no obligation to monitor your access to or your use of the Service (or any feature or part of the Services) or your behaviour elsewhere on our webpages, we have the right to do so for the purpose of operating and providing the Service, to ensure your compliance with these Terms and Conditions, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.
We reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to: (a) satisfy any applicable law, regulation, legal process or governmental request; (b) enforce these terms and conditions, including investigation of potential violations hereof; (c) detect, prevent, or otherwise address fraud, security or technical issues; (d) respond to user support requests; or (e) protect the rights, property or safety of Nuna, its Users and the public.
We reserve the right to introduce new or change existing prices of all Services upon 30 (thirty) days’ notice from us. Such notice may be provided at any time by posting the changes to the terms and conditions of use or the Services.
6. CONTENT FROM YOU
Nuna, in performing the required technical steps to provide the Services to you, may: (a) transmit or distribute your content over various public networks and in various media; and (b) make such changes to your content as are necessary to conform and adapt that content to the technical requirements of connecting networks, devices, services or media. You agree that this license shall permit Nuna to take these actions.
You hereby confirm and warrant to Nuna that you have all the rights, power and authority necessary to grant the above license, and that you do not hereby infringe any rights.
All information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) which you may have access to as part of, or through your use of, the Services are the sole responsibility of the person from which such content originated. You, not Nuna, shall be solely and exclusively responsible for any and all content that you create, transmit or display while using the Services and you are solely and exclusively liable for the consequence of your actions (including any loss or damage which Nuna may suffer). Your use of the content accessed or displayed using the Services is entirely at your own risk.
You shall be responsible for monitoring your content and other data and shall be liable to us for ensuring that the content transferred to or handled by or within Services does not infringe any third party rights. You warrant that you possess such necessary licenses as may be required to process your content or use the Services.
You are not allowed to distribute or contribute any content or user submissions or use/interact with the Service in a way that:
- violate any laws or regulations;
- is harmful, harassing, defamatory, obscene, fraudulent, deceptive or objectionable;
- violate or infringes the intellectual property rights or other rights of any third party including Nuna;
- risk the security of your Nuna account or anyone else;
- attempt to obtain account information from any other user;
- run any type of auto-responder or spam on our services or any other processes that are active while you are not logged into our service and or while you’re not actively using the service. This includes any form interference with our service that will place unreasonable big loads on our infrastructure.
By violating the above points or in general any of our Terms and Conditions it will be the grounds for termination of your access and rights to use our services.
7. BILLING AND PAYMENT
Certain aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the terms of sale, pricing, payment and billing policies applicable to such fees and charges. Nuna may add new services for additional fees and charges, or with 30 days’ notice amend fees and charges for existing services, at any time in its sole discretion.
It is your responsibility to promptly provide Nuna with any contact or billing information changes or updates (including phone number, email address, credit card numbers, etc.). Nuna does not validate all credit card information required by the Customer’s payment provider to secure payment.
Should you choose to upgrade any of the Services provided, through in-app purchases, payment will be charged to your credit/debit card and net banking through your Apple iTunes account or Google Play Billing account at confirmation of purchase. Subscription renews automatically unless cancelled at least 24 (twenty four) hours prior to the end of the subscription period.
You must notify Nuna about any billing problems or discrepancies within 30 (thirty) days after charges first appear on their account statement. If it is not brought to Nuna’s attention within 30 (thirty) days, you agree to waive your right to dispute such problems or discrepancies.
8. BREACH, INDEMNITY AND LIMITATION OF LIABILITY
Your breach
When we consider that a breach has occurred, we may at our discretion take such action as we deem appropriate. Failure to comply with Terms and Conditions, and also any other material instructions in relation to the Service, constitutes a material breach of the terms on which you are permitted to use the Service, and we may take any action legally available including all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use the Services and simultaneous termination/suspension of your account on the Service;
- Immediate, temporary or permanent removal of any contribution already posted on the Services, upon your failure to cure the breach that is brought to your notice;
- Issue of a warning to you;
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative, legal costs and damages that Nuna may suffer directly or indirectly) resulting from the breach;
- Further legal action against you; and
- Disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
We hereby disclaim and exclude our liability for all action we may take in response to breaches of these rules. The actions described above are not limited, and we may take any other action we reasonably deem appropriate.
Upon termination/suspension of your account, you will no longer be able to access your account or any content or data you have stored on the servers. All licenses granted to you by Nuna to the Service will automatically terminate.
You indemnify and hold harmless
You hereby agree to defend, indemnify and hold harmless Nuna, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, direct and indirect losses, liabilities, costs, debt, and expenses arising from: (i) your use of and access to the Service; (ii) your violation (material or non-material) of these Terms and Conditions; (iii) your violation of any third party right, including without limitation, any copyright, property, or privacy right. This defense and indemnification obligation will survive these Terms and Conditions and your use of the Service.
You agree to indemnify and hold Nuna and all employees, affiliates or other associated with Nuna harmless for and against any type of claims, liabilities, losses, damages, expenses arising from any third party claims related to your use of our services.
Nuna’s further waiver of liability
Nuna’s Service, the content, links, etc. are without warranties, including but not limited to implied warranties of merchantability, accuracy, fitness for specific purposes, non-infringement, or that using Nuna’s Service will be uninterrupted or error free. The use of Service may not help you and we cannot guarantee that the use of Service and content and links, etc. (or unavailability of such) will not cause harm to you or others.
To the extent permitted by law, Nuna and third parties connected to us hereby expressly exclude:
- Conditions, guarantees, warranties and other terms, which might otherwise be implied by statute, common law or principles.
- Any liability or punitive damages or other payment for any direct, indirect or consequential loss or damage (incl. punitive damages) incurred by any user in connection with the Services, or in connection with/related to the use, inability to use, or results of the use of the Services, any websites linked to it and any materials posted on it, including, without limitation any liability for:
- suicide, harm to self, incl. abuse, and any other medical emergencies and conditions, and/or severe mental health conditions;
- loss of income or revenue;
- loss of business;
- loss of profits or contracts;
- loss of anticipated savings;
- loss of data;
- loss of goodwill;
- wasted management or office time; and
- for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable or advised of the possibility of the same.
- any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Service.
The same applies with regards to any inaccuracy in the information provided by you on the Service.
Nuna shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Services. Nuna shall not be responsible or liable for the exercise or non-exercise of its rights under these Terms and Conditions.
Nuna is not responsible, or liable to any third party for the content or accuracy of any materials posted by you or any other user of the Services.
A search using the Services may produce results and links to sites and content that you may find objectionable, inappropriate, or offensive and we accept no liability of responsibility for any such content. It is also possible that your use of the Services will return to you information regarding products, merchants and links to websites of third parties selling the product information requested by you. Nuna hereby disclaims any and all responsibility and liability associated with the same. You acknowledge and agree that Nuna is not liable for any loss or damage which may be incurred by you as a result of the availability of such external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.
Nuna’s liability to you shall always be limited to a maximum of the amount paid by you at the time of registration to use the Services.
9. MEMBERSHIP AND CANCELLATION
You can at any time delete your account and all your personal information through the “settings” menu in the app. Nuna is also free to terminate your account or use of our services at any time and for any reason at Nuna’s discretion, as we shall have the sole right to judge whether you’re in violation of any of our terms.
10. APPLE APP STORE AND GOOGLE PLAY STORE TERMS
The Nuna terms stated above apply to the use of our service on all the available devices for our application. The Terms and Conditions are between you and Nuna and not between you and Apple or Google.

What data do we collect?

We further collect all the data that you provide us directly when signing up to the Service. We also collect the data you provide us when using the Service.

The Service builds on AI-powered features as an integrated part of the functionality of the Service. When using these features, your interactions with the Service exchange data with an AI backend and involve the exchange of data between the Service and a third-party service and is logged and analyzed to improve the quality of service and provide personalized responses.
- Data Exchange and Processing: When you interact with the AI features in the Service, certain data is transmitted to the third-party AI backend service for analysis and processing. This data may include your messages, queries, or other information provided during the interaction. The third-party AI backend service process this data to generate responses, provide recommendations, or perform other functions based on the nature of the AI features. This processing involves the use of machine learning algorithms, natural language processing techniques, and other technologies to analyze and interpret the data.
- Data protection Measures: We take measures to protect your personal data and ensure the security of data exchanged with the third-party AI backend service. - Our third-party AI backend service providers comply with GDPR and CCPA. And a full Data Processing Agreement is in place between our companies. The respective API behind that data exchanges have been evaluated by a third-party security auditor and is SOC2 Type2 compliant. This means that we have contractual agreements in place with the third-party service provider to ensure that they adhere to strict privacy and security standards. These agreements outline the terms and conditions for data processing, security measures, and compliance with applicable privacy laws and regulations and can prove this through the certification compliance.
- Data Retention and Deletion: We retain data exchanged with the third-party AI backend service only for as long as necessary to fulfill the purposes for which it was collected. We adhere to data retention policies and procedures to ensure that data is not kept longer than required.
Please note that we transfer your personal data to a third party, service provider located outside the European Economic Area (EEA) for the purposes described in this Privacy Policy. Such transfers are made in compliance with the EU-US Data Privacy Framework.
